我国《物权法》或者《担保法》均未明确规定“押金”为一种独立的担保方式。实践中“押金”大量应用于办卡、租房、借书等领域。关于“押金”的法律性质，理论上存在争议，如不规则质说、附解除条件说、债权质说、信托说等。笔者认为押金存在的目的在于担保债务人如约履行自己的义务，具有担保性质，债务人未能按照合同约定履行义务，债权人可以就押金优先受偿，故押金属于担保物权的一种。法系承认金钱质押的法律地位，所指金钱质押，局限于特定化的金钱。我国物权基本立法虽未规定金钱质押，但《担保法司法解释》第85条规定，“债务人或者第三人将其金钱以特户、封金、保证金等形式特定化后，移交债权人占有作为债权的担保，债务人不履行债务时，债权人可以以该金钱优先受偿”。由于金钱的所有权随占有的转移而转移，作为一般等价物，金钱如果无法特定化，将不能成为质物。金钱特定化的方式有：（1）特户。特户指金融机构为金钱出质开设的专属账户，因为被特定化而区别于普通账户。由于质权的生效需要转移标的物的占有，故可以用债权人名义开设特户。但，该特户出质后无论债权人或者债务人均无权随意处分该特户。约定的质权实现情形出现，质权人（债权人）可以直接就特户中的金钱优先受偿。（2）封金。封金指封存的货币。通过封存的方式将金钱特定化。（3）保证金。保证金出质需要符合特定化的条件，按照特户管理。同理，订金、押金等能否出质，取决于其否被特定化。

2共享单车押金自由处分的法律责任

法律上的处分指对某项财产在事实上或法律上的最终处置，这所有权内容的核心，所有权的最基本权能。有学者认为，金钱的种类物性和流通性决定了占有金钱即享有金钱的所有权，押金占有人占有押金，其就享有了押金的所有权，只要在应返还押金时能够返还相应数额的金钱便可以。例如银行与储户的储蓄存款合同，储户将金钱存入银行委托其保管，实际上银行就享有了该笔存款的所有权，银行完全可以处分该存款，只要储户取钱时银行能够给储户相等数额的金钱即可。若银行未能返还，则为违约。笔者并不同意该观点。质权有别于债权。在合同法律关系中，充分尊重当事人的意思自治，法无明文禁止即可为。但质权属于担保物权，按照物权法定原则，当事人不得任意创设民法或者其他法律以外的物权，也不得任意变更物权的内容、效力和公示方法。金钱能够成为质物按照法律规定必须特定化，质权生效后，质权人可以处置质权，但不能处置质物。以司法实践经验来看，如果对特户或者保证金的自由处分，会使该金钱失去特定化特征，从而影响质权的最终实现。因此，在债务人未按合同履行自己义务的情形下，金钱特定化质权人优先受偿权得以实现的充分且必要条件。

基于上述分析，共享单车的运行公司可以向用户收取押金，但押金必须采取特定化的方式，应该采用特户管理，押金账户与运营账户必须分别立户。此外，共享单车运行公司并不享有押金的任意处分权，不得将押金用于经营、不得转投资等，否则不仅仅丧失质权，更使得收取押金行为本身失去法律依据，也因此可能面临相应的民事责任或者刑事责任。 21民事责任共享单车运营公司与用户之间的法律关系，以租赁合同为主，金钱质押为从。作为主合同的租赁合同终止，必然导致从合同的效力终止。基于诚实信用原则，质权人（共享单车运营公司）应当及时向质押人（用户）退还押金。实践中，共享单车押金的退还需用户提出申请，并非即时到账，而需要等待2～7个工作日。由于退款手续烦琐，大多数用户基于下次使用的方便，而选择不申请退款。单车运营公司在主合同效力终止之后，仍然占有质物，已然构成不当得利。不当得利指没有合法根据，或事后丧失了合法根据而被确认为因致他人遭受损失而获得的利益。不当得利受益人负有返还义务。另外，共享单车运营公司对于押金未采取特户管理的方式，或者将押金用于投资，均会导致金钱失去特定化特征。非特定化的金钱不能成为质物，如此共享单车押金的给付目的不达，共享单车运营公司同样面临不当得利的法定返还义务。根据《最高人民法院关予贯彻执行_民法通则若干问题的意见（试行）》第一百三十一条之规定：“返还的不当利益，应当包括原物和原物所生的孳息。”
